Stampin' Up! Rewards Programme
Terms and Conditions
Participation by any Stampin’ Up! Independent Demonstrator (“Demonstrator”) or Customer (individually or collectively “Participant”, “You”, or “Your”) in the Stampin’ Up! UK Limited (“Stampin’ Up!”) Stampin’ Rewards Programme (“Rewards Programme”) must be in accordance with these terms and conditions (“Terms and Conditions”). These Terms and Conditions supersede and replace any previous Stampin’ Rewards! terms and conditions.
From time to time, Stampin’ Up! may modify the Rewards Programme, including these Terms and Conditions, by providing reasonable notice in compliance with applicable law and as otherwise provided herein. Upon such notice, you will have 30 days to reject any such modification in which the Rewards Programme will be terminated between Stampin’ Up! and You. In the absence of such timely rejection, the new Terms and Conditions are deemed to apply. Stampin’ Up! may suspend or terminate the Rewards Programme by providing reasonable notice in compliance with applicable law and as otherwise provided in these Terms and Conditions. In the case of the Rewards Programme being terminated you will be provided with ninety (90) days to redeem any Available Rewards. Stampin’ Up! will have the final decision-making authority on Reward qualifications and eligible purchases.
DEFINED TERMS
In these Terms and Conditions, the following terms will have the meaning set forth below:
Available Rewards: Rewards in Participant’s account that are available for redemption.
Expired Rewards: Rewards that have become void and are no longer available to Participant because they were not used during the prescribed validity period.
Net Product Price: The amount to be paid for product purchases after all promotions and discounts are applied to the original retail price.
Gifted Rewards: Rewards transferred from one Demonstrator to another Demonstrator or Customer.
Product Credit Rewards: Rewards made available through the Demonstrator compensation plan, a Demonstrator’s demonstratorship, or as otherwise may be made available to a Participant. Some Product Credit Rewards may be taxable as income.
Purchase Rewards: Rewards awarded to a Participant for purchase of a product, or as may otherwise be described herein.
Reward: A unit awarded under the Rewards Programme that has no cash value but may be applied to reduce the purchase price of product through Redemption. A Reward may refer to a Gifted Reward, Product Credit Reward, or Purchase Reward individually or, collectively, as the case may be.
OVERVIEW OF REWARDS PROGRAMME
To enroll in the Rewards Programme, Customers create a Stampin’ Up! online account at www.stampinup.uk (“Website”) and agree to these Terms and Conditions.
Demonstrator’s enrollment in the Rewards Programme is part of their demonstratorship and their Rewards account will be automatically linked to their Stampin’ Up! Independent Demonstrator Account.
Rewards Programme Participants earn Rewards in the amount of 10% of the Net Purchase Price for qualifying purchases in accordance with these Terms and Conditions.
Available Rewards are recorded and managed in the Stampin’ Up! online account Rewards Programme dashboard.
Rewards Programme Participants may redeem Available Rewards when purchasing a product.
HOW TO PARTICIPATE
A Customer may participate in the Rewards Programme by creating a Rewards Programme account. To enroll as a Participant in the Rewards Programme, Customer must agree to these Terms and Conditions and create an online account on the Website, requiring Customer to disclose their name, address, ship-to address, email address and phone number.
Each Participant’s account is associated with the email address provided by the Participant. Rewards Programme accounts cannot be combined. A Participant may not have more than one Rewards Programme account.
A Customer may opt-out of participating in the Rewards Programme by visiting “my account” on the Website and clicking the “opt-out” button at the bottom of the Rewards page. Participation in the Rewards Programme is not necessary to purchase products on the Website. No Rewards will be awarded to anyone not participating in the Rewards Programme, and Participants who “opt-out” will forfeit all Rewards in their Rewards Account.
Closing inactive Stampin’ Up! online accounts is Your responsibility. Where required by law, You may submit a request to Stampin’ Up! to have Your inactive account closed. For more information, please see Stampin’ Up!’s Privacy Policy.
Stampin’ Up! reserves the right, upon providing You with notice, to suspend or terminate Your participation in the Rewards Programme. Stampin’ Up! also reserves the right to suspend, modify, or terminate the Rewards Programme upon providing You with reasonable advance notice. In the case of the Rewards Programme being terminated You will be provided with ninety (90) days in which to redeem any Available Rewards recorded in Your account.
RECEIVING REWARDS
Purchase Rewards
Participants can acquire Purchase Rewards by purchasing product through the Website. Participants earn no Purchase Rewards for purchases of Non-Commissionable Items. However, Rewards may be applied toward Non-Commissionable Items.
Participants may earn Purchase Rewards at 10% of the Net Product Price, including VAT. For the purposes of calculating the Net Purchase Price, taxes (other than VAT, if applicable), shipping, and handling are not included within the Net Purchase Price.
The price threshold for earning Purchase Rewards in each separate product purchase transaction is £20.00; that is, no Purchase Rewards will be awarded when the cumulative Net Product Price for all products purchased in a single transaction is less than amount equal to £20.00. Once the £20.00 price threshold has been met, the Participant will be eligible to receive Rewards for their entire purchase.
In addition to accumulating awards as set forth in these Terms and Conditions, Demonstrators may also be eligible for Rewards available to the Demonstrator under the Demonstrator Compensation Plan, or as otherwise may be available under the Demonstrator’s demonstratorship.
GIFTING REWARDS
Demonstrators may gift Rewards from their Rewards account to Customers or other Demonstrators. Customers are ineligible to gift Rewards to other Participants. Demonstrator’s may not gift Rewards as compensation, incentive, or inducement to a Customer or other Demonstrator to make any purchase, or to take any action, that would provide Demonstrator an unfair advantage over other Demonstrators.
TRACKING AND MANAGING REWARDS
After You earn, or are gifted Rewards, the Rewards will be recorded as Available Rewards in Your Rewards dashboard. Your current balance of Available Rewards is visible in several places within the online store. Rewards have no cash value but may be Redeemed for product as described in the section on Redeeming Rewards.
If a Participant receives Rewards through a purchase that is later canceled or returned, the Rewards received by the purchase of the cancelled or returned product will be deducted from the Participant’s Available Rewards and will no longer be included in the Rewards dashboard. To the extent that a partial cancelation or return of a qualifying purchase is processed, only the Rewards associated with the canceled or returned portion of the qualifying purchase will be deducted.
REDEEMING REWARDS
Available Rewards may be used to Redeem product offered for sale by Stampin’ Up! on its Website. Rewards have no cash value and may not be exchanged for currency.
Participants are limited to applying the Available Rewards shown in their Rewards dashboard to Redeem product. Products exchanged for Rewards may not be redeemed for currency.
Product Purchase Rewards expire at the end of the final day of the twelfth month after they are awarded. Product Credit Rewards expire at the end of the sixth month after they are received, or as their expiration otherwise occurs in a demonstrator’s demonstratorship. Gifted Rewards expire at the end of the third month after they are received. Upon the expiration of a Reward, it is void and may no longer be used to Redeem product. The Rewards dashboard includes a display indicating Rewards set to expire within the next 3 months.
A Participant’s Available Rewards that are first due to expire will be the first Rewards to be applied toward product redemption, regardless of when the Available Rewards were earned or gifted.
All benefits, amenities, offers, products and awards under the Reward Programme are subject to availability.
TAX
You agree to pay all taxes and fees levied or assessed on You by any governmental authority incident to Your participation in the Rewards Programme and performance of these Terms and Conditions, including income tax and VAT. Under no circumstance will Stampin’ Up! be obligated to pay any taxes or fees on Your behalf.
Product Credit Rewards may be recognized as taxable income for Demonstrators at the time of redemption or gifting away to a third party.
NOTIFICATIONS
Stampin’ Up! will communicate with you regarding your participation in the Rewards Programme by email and/or in the Rewards dashboard on the Website. Stampin’ Up! may send you email regarding updates to the Rewards Programme, Available Rewards that have expired or are expiring, or other emails specific to Rewards Programme participants. Notifications regarding your purchases of product, Available Rewards that have expired or, are expiring, or that have been applied to Redeem product, and other Rewards metrics will be shown on the Website in the Rewards dashboard.
TERM AND TERMINATION
Upon successful enrolment in the Programme, your Rewards Programme account will remain active until terminated by You, operation of law, or by Stampin’ Up!. Stampin’ Up! may terminate the Rewards Programme at any time by providing you with at least 90 day advance notice, or in accordance with applicable law. However, if Stampin’ Up! does not terminate the Rewards Programme, and you opt-out of the Rewards Programme, you will forfeit all available Rewards in your account.
PARTICPANT INFORMATION AND PRIVACY POLICY
You agree and acknowledge that all information provided by You by participating in the Rewards Programme will be collected, used, held, stored, retained and disclosed in accordance with applicable privacy and data protection law. You are responsible to ensure the information in Your profile is accurate and remains current. Stampin’ Up! will not be held responsible for inaccurate information provided by You. LIMITATION OF LIABILITY
Nothing in these Terms and Conditions will limit or exclude any liability of Stampin’ Up! for death or personal injury resulting from negligence, wilful misconduct or fraud or in any way that is not permitted under applicable law.
The liability of Stampin’ Up! for direct damages arising from any course of action in connection with the performance of the Rewards Programme (including but not limited to breach of contract and/or tort) shall be limited to the lesser of £10,000 or the amount you have paid to Stampin’ Up! for Rewards and any goods or services in the last 12 months.
Stampin’ Up! shall not be liable to you for any incidental, indirect, special or consequential damages of any kind or for loss of profits, missed savings, damage to reputation, data or revenue or loss of business or damage to goodwill arising out of, or in connection with, this Rewards Programme.
None of the personnel, directors, officers, managers, proxyholders or any other parties acting on behalf of Stampin’ Up! shall be liable for to you under the Rewards Programme, whether on contractual or extracontractual grounds.
INDEMNIFICATION
Subject to any Non-Excludable Guarantees, and except as prohibited by law, You agree to defend, indemnify, and hold harmless Stampin’ Up!, its affiliates, licensors, and service providers, and its and their respective directors, officers, employees, agents, licensors, suppliers, contractors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms and Conditions, including, but not limited to, any use of the Website’s content, services, and products other than as expressly authorized in these Terms and Conditions.
DISPUTE RESOLUTION
All matters relating to these Terms and Conditions, and any dispute or claim arising therefrom or related thereto in each case, including non-contractual disputes or claims, will be governed by and construed in accordance with the internal laws of England without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms and Conditions, the Rewards Programme, or the Website will be instituted in London, England. You waive any objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
GENERAL PROVISIONS
No waiver by Stampin’ Up! of any term or condition set out in these Terms and Conditions will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Stampin’ Up! to assert a right or provision under these Terms and Conditions will not constitute a waiver of such right or provision.
If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.
You may not assign, novate, delegate, or otherwise transfer any of your rights or obligations under these Terms and Conditions without the prior written consent of Stampin’ Up!, which consent Stampin’ Up! may grant or withhold in its sole and absolute discretion.
You agree that these Terms and Conditions constitute the sole and entire agreement between you and Stampin’ Up! arising out of or relating to the Rewards Programme and the subject matter of these Terms and Conditions, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, arising out of or relating to the subject matter of these Terms and Conditions.
